These Terms of Service ("Terms") govern your access to and use of the TopOps AI platform and services ("Service") operated by TopOps AI ("we," "us," or "our"). Please read these Terms carefully before using our Service.

Acceptance of Terms

By accessing or using TopOps AI, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

Account Registration

To use TopOps AI, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Be at least 18 years of age
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Service Description

TopOps AI is an AI-powered financial operations platform designed for media and entertainment production companies. The Service provides automated bookkeeping, financial reporting, cash flow analysis, budgeting, forecasting, and other back-office financial operations through four subscription tiers:

• CoreOps — AI bookkeeping and P&L dashboard
• FlowOps — Cash flow analysis and AR/AP management
• GrowthOps — Team management, budgets, sales ops, and departmentalized reporting
• PartnerOps — Fractional CFO services and custom integrations

Additional add-on modules (Film Tax Credits, Sales Accelerator, Multi-Entity) may be available depending on your subscription tier.

Billing & Subscriptions

All subscription payments are processed securely through Stripe. By subscribing, you agree to the following:

• Subscriptions are billed on a monthly or annual basis, depending on the plan you select
• Annual subscriptions are billed upfront for the full year
• You may cancel your subscription at any time through your account settings
• Monthly subscriptions: cancellation takes effect at the end of the current billing period; no partial refunds
• Annual subscriptions: cancellation results in a prorated refund for the remaining unused months
• We reserve the right to change pricing with 30 days' notice to active subscribers

Data Ownership

You retain full ownership of all financial data, documents, and content you upload or sync to the TopOps AI platform. By using the Service, you grant TopOps AI a limited, non-exclusive license to access, process, and display your data solely for the purpose of providing the Service to you. We will not sell, share, or use your data for any purpose other than delivering and improving our services.

Acceptable Use

You agree not to use TopOps AI to:

• Engage in any illegal activity, including money laundering, fraud, or tax evasion
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
• Resell, sublicense, or redistribute access to the Service without written permission
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code, viruses, or any harmful content
• Use the Service in a manner that violates any applicable laws or regulations

Intellectual Property

TopOps AI owns all rights, title, and interest in and to the platform, including its software, design, features, documentation, and branding. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Service as described herein. You retain all rights to your own data and content.

Limitation of Liability

TopOps AI is a financial operations platform, not a financial advisory firm. We do not provide financial advice, investment recommendations, or tax guidance. While we strive for accuracy, we do not guarantee the accuracy, completeness, or reliability of any financial data, reports, or analyses generated by the platform. You acknowledge that:

• TopOps AI is not a Certified Public Accounting (CPA) firm
• We are not financial advisors and our Service should not be relied upon as financial advice
• You are responsible for verifying the accuracy of all financial data and reports
• TopOps AI shall not be liable for any financial decisions made based on information provided by the platform

To the maximum extent permitted by law, TopOps AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Disclaimer About Accounting Services

Top Ops provides back-office services, including bookkeeping, controller services, and CFO services. Top Ops is not a public accounting firm and does not provide services that would require a license to practice public accountancy.

Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to TopOps AI, other users, or third parties. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service ceases immediately, and we will handle your data in accordance with our Privacy Policy.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
